These Terms of Use govern the PonderOn website and connected services (collectively, the “Site”). The Site and its contents are owned or licensed by PonderOn, Inc. By accessing or using the Site, you agree to comply with these Terms. If you disagree with any portion, please do not use the Site. PonderOn may amend these Terms at any time; your continued use of the Site signifies acceptance of the updated terms. Subject to your compliance, PonderOn grants you a limited, nonexclusive and nontransferable right to use the Site.
Content and Intellectual Property
All text, images, audio, video, software, designs, logos and other materials on the Site (the “Content”), including the overall look and arrangement, are owned or licensed by PonderOn and are protected under intellectual property and unfair competition laws. Unless explicitly authorized, you may not copy, reproduce, distribute, display, or transmit any part of the Content for commercial purposes. You may download information about PonderOn products or services that is specifically provided for that purpose, provided you do not remove proprietary notices, do not modify the information, and use it only for personal, non-commercial reference.

Accounts, Passwords and Security
Some Site features may require you to create an account and password. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify PonderOn immediately of any unauthorized use of your account or security breach. You must not use another person’s account without their permission, and PonderOn is not responsible for any losses arising from your failure to protect your account information.

Your use of the Site is subject to PonderOn’s Privacy Policy, which is incorporated into these Terms. PonderOn does not guarantee that the Site or its Content, services or features will be error-free or uninterrupted. The Site and Content are provided on an “as is” and “as available” basis. Information on the Site may change without notice. PonderOn cannot assure that downloads are virus-free, and disclaims all express or implied warranties, including warranties of accuracy, non-infringement, merchantability and fitness for a particular purpose. PonderOn disclaims liability for the conduct of third parties in connection with your use of the Site. Your sole remedy for dissatisfaction with the Site is to stop using it.
Limitation of Liability
To the extent permitted by law, PonderOn will not be liable for indirect, consequential, incidental or punitive damages, including lost profits, even if advised of the possibility. If PonderOn is found liable for damages arising from your use of the Site or Content, its liability will not exceed the greater of any subscription or similar fees you paid for Site services during the previous six months or US$100.
Indemnity
You agree to indemnify and hold PonderOn, its directors, officers, employees, agents, partners and affiliates harmless from any claims, losses, liabilities, damages, costs or expenses (including reasonable attorney’s fees) arising out of your use of the Site, your violation of these Terms, or your infringement of any rights of third parties.
Violation and Termination
PonderOn may disclose information about you if necessary in connection with investigations of misuse of the Site or to comply with law. PonderOn may terminate or suspend your access to the Site at its sole discretion, without notice, if you violate these Terms, other policies or legal requirements. Termination can also occur at the request of law enforcement, your own request, or due to technical issues. If PonderOn pursues legal action for your breach of these Terms, you agree to pay all reasonable attorneys’ fees. PonderOn shall not be liable for termination of your access to the Site.
Governing Law and Dispute Resolution
By using the Site, you agree that disputes will be governed by the laws of the United States and the state or province where PonderOn is headquartered, without regard to conflict of laws principles. For consumers located in the European Union, legal claims may instead be brought in your country of residence. Any claim must be brought within one (1) year of its occurrence. Before initiating legal proceedings, you agree to attempt in good faith to resolve disputes through negotiation and, if necessary, mediation.
Geographic Restrictions
PonderOn operates the Site from its home country; other local sites may be operated from different jurisdictions. Some features, products or services described on the Site may not be available in every country or may be restricted. If you access the Site from outside PonderOn’s home country, you do so on your own initiative and are responsible for compliance with local laws.
Export and Compliance
You agree not to export or re-export any Content, product or service offered on the Site in violation of applicable export laws and regulations.
Miscellaneous
If any provision of these Terms is held unenforceable, it will be replaced by a valid provision that reflects the parties’ intent as closely as possible, and the remaining terms will remain in effect. These Terms constitute the entire agreement between you and PonderOn regarding your use of the Site. PonderOn may modify these Terms at any time without notice and may refuse any counter-offers. The failure to enforce any provision shall not waive PonderOn’s right to enforce these Terms in the future. These Terms do not create rights for third parties.
Feedback and Submissions
Any feedback or suggestions you provide through the Site to PonderOn will be treated as non-confidential, and PonderOn may use such information without restriction. Information on the Site may change without notice. These Terms of Use are provided for general informational purposes and reflect PonderOn’s current practices.
